KAZAKHSTAN: INTERESTING AND USEFUL ABOUT COMPANY REGISTRATION

Many questions arise regarding the company registration process and the list of required documents. It is difficult to find concisely presented and accurate information from government sources, and often the language barrier and/or the inability to visit the registering government agency creates a serious obstacle.

To register a company in the LLP form with foreign participation, an individual will need to provide the registration authority with:

  • An application in the approved form;
  • a copy of passport of shareholder with a notarized translation into Kazakh and Russian languages;
  • C5 business immigrant visa (all except citizens of the EAEU countries);
  • Kazakhstani IIN (individual identification number) for each LLP participant;
  • ID card of the director of a legal entity / copy of passport with a notarized translation into Kazakh and Russian languages if the director is a non-resident;
  • decision to open an LLP, decision to appoint a director of the LLP, order to appoint a director;
  • legal address;

To register an LLP with foreign participation in Kazakhstan, a legal entity will need to provide the registration authority with:

  • Application according to the approved form;
  • an extract from the trade register or charter confirming that the legal entity is registered under the laws of a foreign state;
  • a tax resident certificate
  • a constituent agreement if the registering legal entity has more than one founder;
  • ID card of the director of a legal entity / copy of passport with a notarized translation into Kazakh and Russian languages if the director is a non-resident;
  • constituent documents: decision to open a limited liability partnership, constituent agreement if there is more than one participant;
  • a decision on the appointment of a director of the LLP, order on the appointment of a director;
  • legal address;
  • a document confirming payment of the registration fee of a legal entity (except for small and medium-sized businesses);

All of the above documents must be notarized in the country of origin of the foreign legal entity and apostilled. The exception is the CIS countries, for which apostille and legalization are not required, because States members of the CIS have signed the Convention on Legal Assistance and Legal Relations in Civil, Family and Criminal Matters. For CIS countries, only notarization of the above documents is required.

After registering an LLP, a number of procedures must be completed:

  • choose a tax regime, since new companies automatically fall under the generally established tax regime;
  • open a bank account to accept non-cash payments;
  • conclude an employer’s liability insurance agreement;
  • register an online cash register to accept cash payments;
  • purchase a POS terminal – for some types of business;
  • obtain a license if required by type of activity;
