From January 7, 2025, changes will be introduced in relation to company registration, in particular to the Law of the Republic of Kazakhstan “On State Registration of Legal Entities and Record Registration of Branches and Representative Offices”. For example, if previously small businesses submitted a “notice of state registration of a legal entity”, then from January 7, 2025 it is necessary to submit an “application for state registration of a legal entity”.
In addition to the above, we would like to note the main changes:
- Regarding the registration of a legal entity with foreign participation.
From January 7, 2025 for the state registration of legal entities related to small, medium and large businesses with foreign participation it will be necessary to submit the following documents:
For the founder of a physical person:
- A copy of the passport or other document certifying the identity of the foreign founder, with a notarized translation into Kazakh and Russian;
- Kazakhstan individual identification number;
- visa (category C5) or temporary residence permit as a business immigrant.
For the founder of a legal entity:
- a copy of a legalized extract from the trade register or other legalized document certifying that the founder is a foreign legal entity under the laws of a foreign country, with a notarized translation into Kazakh and Russian languages;
- a copy of passport or other document certifying the identity of the founder of the foreign company, with a notarized translation into Kazakh and Russian languages.
- Automation of processes.
Along with the amendments to the Law, the amendments will also affect the Rules of rendering state services in the sphere of state registration of legal entities and record registration of branches and representative offices. In particular, it is stipulated that state registration of a legal entity belonging to a subject of small and medium-sized enterprises will be carried out by submitting an electronic application, which greatly simplifies the procedure of registration of a legal entity.
In the case of electronic registration, state registration of legal entities is carried out on the basis of an application submitted to the state database “Legal Entities” (GDB YUL) through the portal.
*For the provision of state service in electronic form, including biometric authentication of identity may be conducted.
